Technology entrepreneurs may avoid the high cost of a potential lawsuit by having a quality development agreement in place before a programmer begins turning their billion-dollar idea into a reality.

Gunster attorney Gaida ZirkelbachGaida Zirkelbach, a business and technology attorney in Gunster’s West Palm Beach office, discusses the matter in an article recently published in The Miami Herald.

For many businesses, she says, working with a good developer or programmer is crucial. But, without an appropriate signed agreement between the business owner and developer, many costly problems could arise surrounding intellectual property rights, confidentiality and project deliverables, among other things.

Zirkelbach says such agreements should clearly answer a few basic but crucial questions, including:

  • Who owns what?
  • What is included?
  • Who is doing the work?
  • What are the expected milestones and repercussions?
  • What is confidential?
